By accessing or using the Integral platform, website, and related services (collectively, the "Services") provided by Integral Privacy Technologies, Inc. ("Integral," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services.

2. Description of Services

Integral provides a healthcare data compliance and operations platform, including but not limited to automated de-identification, Expert Determination support, data governance, pipeline management, and related tools and APIs. The Services are designed to help organizations work with privacy-regulated healthcare data in compliance with applicable laws and regulations, including HIPAA.

3. Eligibility

The Services are intended for use by businesses and professionals operating in the healthcare data ecosystem. By using the Services, you represent that you have the authority to bind your organization to these Terms and that your use complies with all applicable laws.

4. Account Registration

To access certain features of the Services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Integral immediately of any unauthorized use.

5. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Attempt to reverse-engineer, decompile, or disassemble the Services
  • Interfere with or disrupt the integrity or performance of the Services
  • Use the Services to process data in a manner that violates applicable privacy laws
  • Share account credentials or provide access to unauthorized third parties

6. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. You retain ownership of all data you upload to or process through the Services. Integral does not claim ownership of your data and will process it only as necessary to provide the Services as described in any applicable agreements.

7. Intellectual Property

All right, title, and interest in and to the Services, including all intellectual property rights, are and will remain the exclusive property of Integral and its licensors. These Terms do not grant you any rights to use Integral's trademarks, logos, or other brand features without prior written consent.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INTEGRAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTEGRAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

10. Indemnification

You agree to indemnify and hold harmless Integral and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of the Services or violation of these Terms.

11. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting updated Terms on our website. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.

12. Termination

We may suspend or terminate your access to the Services at any time for any reason, including violation of these Terms. Upon termination, your right to use the Services will immediately cease.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.
